BY ACCEPTING THIS AGREEMENT, YOU ACKNOWLEDGE AND AGREE THAT THE TERMS AND CONDITIONS OUTLINED IN THIS AGREEMENT WILL APPLY TO AND GOVERN YOUR USE OF THE INTERNET BANKING SERVICES OFFERED BY INDEPENDENCE BANK ("INDEPENDENCE"), AND THAT YOU HAVE READ AND UNDERSTAND THE TERMS OF THIS AGREEMENT, AND YOU WILL CREATE A VALID AND BINDING LEGAL CONTRACT BETWEEN YOU AND INDEPENDENCE BANK.

1. What This Agreement Covers. This Agreement between you and Independence governs your use of Independence's Internet Banking Services, defined as any electronic service provided by Independence that permits you to access financial services or account information through the use of a personal computer. Access will be provided through the Internet. You are responsible for providing your own access to the Internet through the Internet Service Provider of your choice. The terms and conditions of this Agreement are in addition to, and shall supplement, the terms, conditions, rules, and regulations that apply to any of your existing Independence Bank accounts or services of Independence which you currently use.
2. Internet Banking Services. The Internet Banking Services enable you to review your current account information and to transfer funds between and among your accounts; to the extent you identify your applicable accounts on your Internet Banking Services Application.
3. Internet Banking Services, Transfers and Payments. When you instruct Independence to transfer funds between or among your Independence accounts through the Internet Banking Services, you authorize Independence to withdraw the necessary funds from the Independence account you designate. As with any funds transfer request, whether or not utilizing Internet Banking Services, you agree that you will instruct Independence to make a withdrawal only when a sufficient balance is or will be available in your designated Independence account at the time of withdrawal up until 2 p.m. Eastern Standard Time or Eastern Daylight Time for same day transactions. Independence will not be obligated to act on any withdrawal instruction from you if sufficient funds, including overdraft lines of credit are not available in the account you designate.
4. Cost of the Internet Banking Services. There are currently no monthly service charges or transaction fees for the basic Internet Banking Services. However, you are responsible for all telephone charges you incur in connecting to the Internet Banking Services. You are also responsible for charges by any Internet Service Provider you use.
5. Changes in Terms. Independence may change the Internet Banking Services and the terms, including fees, set forth in this Agreement at any time. You will be notified of any such change as required by applicable law, either by mail or by an electronic message. You understand that, by using the Internet Banking Services after a change becomes effective and after you are notified of the change, you are agreeing to the change.
6. Cancellation. This Agreement will remain in effect until it is terminated by you or Independence. You may cancel this Agreement at any time by notifying Independence by mail to 1370 South County Trail, East Greenwich, RI 02818, Attention: Operations. Independence may cancel this Agreement and terminate your use of the Internet Banking Services for any reason, at any time. Independence will use commercially reasonable measures to notify you in advance of any such termination, but Independence is not obligated to do so.
7. Security. In order to maintain secure communications and reduce fraud, you agree to protect the security of your numbers, codes, marks, signs, public keys or other means of identification. Independence reserves the right to block access to the Internet Banking Services to maintain or restore security to Independence systems if Independence reasonably believes your access codes have been or may be obtained or are being used or may be used by an unauthorized person(s). You are liable and responsible for all Internet Banking Services transactions made using your means of identification, whether those transactions are made by you or any person you authorize, permit or enable to have your means of identification (even if the person exceeds your authority) or by any person who obtains through you, by whatever means, your means of identification. If you have given someone your means of identification and wish to terminate their authority, or if you know or believe that your means of identification otherwise is compromised, you must notify Independence so that Independence can take the necessary steps to change the means of identification. You agree to defend, hold harmless and indemnify Independence from and against any and all claims of any nature arising out of any such access by a person you have authorized, permitted or enabled to have access to your Independence accounts via the Internet Banking Services.
8. Limit of Independence and Other Providers Responsibility. Independence agrees to make reasonable efforts to ensure full performance of the Internet Banking Services. Independence will be responsible for acting only on those instructions sent through the Internet Banking Services, which are actually received and cannot assume responsibility for malfunctions in communications facilities not under its control that may affect the accuracy or timeliness of messages you send. Independence is not responsible for any losses or delays in transmission of instructions arising out of the use of any Internet Service Provider or caused by any browser software. Any information you receive from Independence can only be provided on a best-efforts basis for your convenience and is not guaranteed. Independence is not liable for any deficiencies in the accuracy, completeness, availability or timeliness of such information or for any investment or other decision made using this information. Independence is not responsible for any computer virus or related problems which may be attributable to the Internet Banking Services or to any services provided by any Internet Services Provider. In the absence of negligence on the part of Independence, none of Independence, any of its affiliates or any of their respective officers, directors, employees or agents, is responsible for any direct, indirect, special, incidental or consequential damages arising in any way out of the use of the Internet Banking Services. Because some states do not allow the exclusion of limitation of liability for consequential or incidental damages, in such states the liability of the foregoing entities and individuals is limited to the extent permitted by law.
INDEPENDENCE MAKES NO EXPRESS OR IMPLIED WARRANTIES CONCERNING THE INTERNET BANKING SERVICES, INCLUDING BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT OF THIRD PARTY PROPRIETARY RIGHTS UNLESS, AND THEN ONLY TO THE EXTENT, DISCLAIMING SUCH WARRANTIES IS PROHIBITED BY LAW.
9. No Other Use. The Internet Banking Services give you access to services and information from Independence which may be presented with a distinctive "look and feel". These services, information and "look and feel" are the proprietary property of Independence. You may use the Internet Banking Services only for your personal use and may not reproduce, sell or distribute all or any portion of the information provided to you by the Internet Banking Services.
10. Severability. In the event any one or more of the provisions of this Agreement shall for any reason is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain valid and enforceable.
11. Governing Law. The terms and conditions of this Agreement shall be governed by and construed in accordance with the laws of the State of Rhode Island, without regard to its conflicts of law provisions. Your existing account relationships shall continue to be governed by and construed in accordance with the laws of the state where the Independence branch at which you initially established your bank account is located or has been transferred by Independence or as otherwise specified in the applicable agreements between you and Independence. Any issue relating to an account or service with Independence which you access through the Internet Banking Services shall be governed by the laws specified in the agreement for that account or service if there is a separate agreement for that account or service.
12. Assignment. Independence may assign its rights and delegate its duties under this Agreement to a company affiliated with Independence or to any other party. You may not assign any of your rights or duties under this Agreement at any time.
13. Entire Agreement. This Agreement is the entire agreement between you and Independence regarding your use of the Internet Banking Services, and it supersedes any prior discussions and agreements between you and Independence regarding the Internet Banking Services, and supersedes any marketing or other similar material pertaining to the Internet Banking Services delivered to you in writing, verbally or obtained at any Independence site or the site of any Internet service provider.
14. Interruptions in Services. Independence may on a regular basis perform maintenance on Independence equipment or systems which may result in interruption of the Internet Banking Services. Independence will not incur any liability to you as a result of any such interruptions.
Bill Payment Agreement
Designation of Primary Account. You understand that in order to use Independence's bill payment services, you must have a checking account with the Bank. The checking account must be designated as your "bill payment" account on your application and will be treated as the "designated" account for bill payment transactions and charges processed through bill payment.
Banking Day. Independence Bank business days ("banking day") are Monday through Friday, from 8:00 a.m. to 3:30 p.m., not including federal holidays.
General Information about Bill Payment. You may use Bill Payment virtually anytime, day or night, 7 days a week. Customer Service is available during normal banking hours at 401-886-4600. However, bill payment may be temporarily unavailable due to Bank record updating, or technical difficulties. In addition, access to bill payment is made available pursuant to a license agreement between and by Independence Bank and its service providers. Any interruption of service or access caused by these parties will also prevent your use of the service. To utilize the services, you will need to enter your assigned Customer I.D. and Personal Identification Number (PIN) and otherwise satisfy the system's security features.
Bill Payment Transaction Procedures. Bill Payments may be processed in three different transaction modes. They are as follows:
"Today." If you designate a payment or transfer as a "Today" transaction, the scheduled initiation date will be the next business day. Bill Payment debits accounts within two (2) business days after the payment is initiated.
"Future." If you designate a Bill Payment as a "Future" transaction, you may request that the transaction be made on a future date that you may designate up to 90 days in advance of the Scheduled Initiation Date. The processing date will be the effective date that you entered, or the next business day should the effective date fall on a weekend or holiday. Sufficient funds must be available by midnight of the night before the processing date, but will be deducted from your designated checking account on the Scheduled Initiation Date. "Future" transactions may be canceled or changed 24 hours prior to the Scheduled Initiation Date (Sunday through Thursday until 11:00 p.m. EST).
"Recurring." If you designate a Bill Payment as a "recurring" transaction, you may request, and the Bank will use, a Scheduled Initiation Date that recurs on a specified regular basis (i.e. weekly, bi-weekly, monthly, etc.). You will designate a "start" and "end" date. Sufficient funds must be available by midnight of the night before the Scheduled Initiation Date. "Recurring" transactions may be cancelled or changed up until 1:00 p.m. EST of the processing date you requested.
Bill Payments
1. Account Designation and Payees. All Bill Payments you make through bill payment will be deducted from your designated checking account. Any payee you wish to pay through bill payment must be payable in U.S. Dollars and located in the United States. Each payee must appear on the payee list you create with the Bank and the account you are paying with must be in your name. You may not use bill payment to make payments to a federal, state or local governmental or tax unit.
2. Processing. Funds will be taken out of your designated checking account on the Scheduled Initiation Date entered by you. In many cases, your Bill Payments are electronically delivered to the payee within three business days after the Scheduled Initiation Date. However, some payees are not set up to accept electronic payment. In these cases, a check will be sent, which may take up to five business days to process and deliver to the payee. If you do not allow sufficient time, you will assume full responsibility for all late fees, finance charges, or other actions taken by the payee. If you schedule your payment with sufficient time, and the payment was not received by the payee, or was received late, the Bank or its providers will not assume responsibility.
Independence Bank and its service providers are responsible only for existing ordinary care in making payments upon your authorization and for mailing or sending a payment to the designated payee. Independence Bank and its service providers are not liable in any way for damages you incur if you do not have sufficient funds in your account to make the payment on the processing date, if the estimate of time to allow for delivery to the payee is inaccurate, due to delays in mail delivery, in changes of merchant address or account number, the failure of any merchant to account correctly for or credit the payment in a timely manner, or for any circumstances beyond the control of the Bank, or Certegy.
Limitations of Service
1. Payment Limitations. Except as provided herein, all Bill Payments from an account are subject to the terms and conditions applicable to such account as set forth in the account agreement governing such account.
2. Available Funds Required. All Bill Payments initiated through bill payment are subject to there being sufficient funds in the affected account on the effective date of the transaction.
3. Payment Amounts. The minimum payment amount is $.01 and the maximum amount is $999,999.99.
Stopping or Modifying bill payment Authorized Payments. In order to request a stop payment on a bill payment transaction designated as "Future" or "Recurring", you must cancel or change the payment using bill payment up until 1:00 p.m. EST on requested processing day.
If you are unable to access bill payment, we will only accept a verbal or written notice to stop a bill payment transaction if it relates to a payment designated as "Future" or "Recurring" and only if the notice is received at bill payment Customer Service at (401) 886-4600 no later than three business days before the scheduled date of the payment. If you call, we may also require you to put your request in writing and forward it to us within fourteen days after you call. If the transaction is recurring, the notice must detail whether the cancellation applied to only one of the recurring transactions, or all transactions in the recurring stream.
Authorization to Charge Accounts. You authorize us to charge your designated account(s) for any transactions processed through the use of bill payment, including the amount of any Bill Payment that you make, and any charges for the service. You authorize us to process Bill Payment according to the instructions we receive through bill payment. You authorize us to initiate any reversing entry or reversing file, and to debit your accounts at the Bank or elsewhere, in order to correct any mistaken entry.
You understand that if a Bill Payment request describes the payee inconsistently by name and account number, execution of the request will occur on the basis of the account number, even if it identifies a person different from the named payee or transferee.
Applicable to All Fees and Charges. If you do not have sufficient funds in your account on the date the fee or charge is payable, you authorize us to automatically deduct the payment from your account as soon as funds are available or overdraw your account to process the charge.
Security Procedures. A Customer I.D. and Personal Identification Number (PIN) will be issued to you for security purposes. The I.D. and PIN are confidential and should not be disclosed to third parties. You are responsible for the I.D. and PIN. You agree not to disclose or otherwise make the I.D. or PIN available to anyone not authorized to sign on your accounts.
You represent that you have considered the security procedures of the bill payment services and find that the security procedures are commercially reasonable for verifying that a Bill Payment, purporting to have been issued to you is, in fact, yours. In reaching this determination, you have considered the size, type and frequency of Bill Payments, that you anticipate processing through the Bank.
Documentation and Verification of Payments
1. Confirmation Numbers. Upon completion of a transaction using bill payment, a confirmation number will be given. You should record this number, along with the payee, scheduled date and transaction amount in your checkbook register (or other permanent record), because this will help in resolving any problems that may occur. No printed receipts are issued through bill payment.
2. Periodic Statements. Information concerning bill payment transactions will be shown on your monthly statement for the account from which payments are made.
Other Conditions. You are responsible for complying with all terms of this Agreement and Disclosure and the regulations governing the deposit accounts which you access using bill payment. We can terminate your bill payment privileges without notice to you if you do not comply with those agreements. The regulations governing your personal deposit account are set forth in your Terms and Conditions.
Change in Terms. We will mail or deliver a written notice to you at least 30 days before the effective date of any change in term or condition disclosed in this Agreement and Disclosure if the change would result in increased fees and charges, increased liability to you, fewer types of available electronic funds transfers or stricter limitations on the frequency or dollar amounts of transfers, unless prior notice is excused by law.
Canceling bill payment. You may cancel your use of bill payment at any time by sending an electronic message or in writing to the Bank, or calling the Bank at 401-886-4600. If you notify the Bank by phone, we may require you to put your request in writing. You cannot cancel bill payment until all pending payments have cleared. If you have pending payments and do not want to wait for them to clear, you may individually delete these future payments. You will not receive a refund of any service fee if you cancel. The Bank may cancel bill payment at any time without prior notice. Cancellation shall not affect your liability or obligations under this Agreement.
Liability for Failure to Make Payments. If we do not send a payment on time, or the correct amount according to your instructions given in accordance with this Agreement and Disclosure, we will be liable for damages caused. However, there are some exceptions. We will not be liable, for instance, if:
- Through no default of ours, your account does not contain sufficient funds to make the payment or transfer.
- The equipment, phone lines, or computer systems were not working properly or were temporarily unavailable.
- Circumstances beyond our scope of control, such as fire or flood, prevented the payment or transfer, despite reasonable precautions we have taken.
- A court order or legal process prevents us from making a transfer or payment.
- You have previously reported unauthorized use of your password, or if you default under any agreement with us or if you or the Bank terminate this Agreement.
- The payee does not process a payment correctly, or in a timely manner.
- There may be other exceptions stated in our agreement with you. If any circumstances listed should occur, we will assist you with reasonable efforts in taking appropriate corrective action to reprocess the transaction that may not have been completed or to correct transactions that have incorrectly been processed.
Notification of Unauthorized Transaction or a Lost or Stolen Access Device. If you believe your password has become known by an unauthorized person, or that someone has transferred money or made payments without your permission, you may call bill payment Customer Service at (401) 886-4600.
Also, if your statement shows electronic funds transfers that you did not make, you will notify us immediately. We may require you to provide your complaint in the form of an affidavit. We must hear from you no later than 60 days after we sent you the first statement on which the problem or error appeared.
Liability for Unauthorized Use. Please refer to the Unauthorized Transfers section located in the Electronic Fund Transfers Agreement below.
Errors or Questions. Please refer to the Error Resolution Notice section located in the Electronic Fund Transfers Agreement.
Minimum Account Balance. Other than ensuring sufficient funds are available to complete the payment, we do not require you to maintain a minimum balance in any account as a condition of using bill payment to accomplish a payment.
Periodic Statements. You will get a monthly account statement from us for your checking account.
Confidentiality. In order that your privacy may be protected, we will not disclose any information about you or your account to any person, organization, or agency except:
- When it is necessary for verifying or completing payments, or resolving a problem relating to a payment;
- In order to verify the existence and condition of your account for a third party, such as credit bureau or merchant;
- In order to comply with government agency or court orders;
- To any subsidiary or affiliate;
- If you give us your written permission; or
- As otherwise permitted in Independence Bank Deposit Agreement and Disclosures, by law, or as required by government regulations.

Please refer to the particular rules and regulations governing your type of personal account specifically its limitations and current fee schedule. Indicated below are types of Electronic Fund Transfers we are capable of handling, some of which may not apply to your personal account. Please read this disclosure carefully because it tells you your rights and obligations for the transactions listed. You should keep this notice for future reference.
Pre authorized Credits. You may make arrangements for certain direct deposits to be accepted into your checking, money market checking, or statement savings account.
Pre authorized Payments. You may make arrangements to pay certain recurring bills from your checking, money market checking, or statement savings account. Preauthorized payments from a savings or money market account are generally limited to no more than six (6) per month.

Termination
You may terminate the electronic fund transfer agreement by written notice to us. We may terminate the electronic fund transfer agreement by notifying you of the termination at any time by any commercially reasonable measure.
Minimum Account Balance
You must maintain a minimum account balance of $10.00 in the account being used as a condition of using an ATM or ATM/Debit Card (card and/or identification code) to accomplish a transfer.
Documentation
Terminal transfers. You can get a receipt at the time you make any transfer to or from your account at one of our automated teller machines or point-of-sale terminals. You may not receive a receipt for transactions less than $15.00.
Preauthorized credits. If you have arranged to have direct deposits made to your account at least once every 60 days from the same person or company, you can call us at (401) 886-4600 to find our whether or not the deposit has been made.
Periodic statements.You will get a monthly account statement from us for your checking, savings, and money market checking accounts.
Preauthorized Payments
Right to stop payment and procedure for doing so. If you have told us in advance to make regular payments out of your account, you can stop any of these payments. Here is how: Call or write us at the telephone number or address listed in the brochure in time for us to receive your request 3 business days or more before the payment is schedules to be made. If you call, we may also require you to put your request in writing and get it to us within 14 days after you call.
Notice of varying amounts. If these regular payments may vary in amount, the person you are going to pay will tell you, 10 days before each payment, when it will be made and how much it will be. (You may choose instead to get this notice only when the payment would differ by more than a certain amount from the previous payment, or when the amount would fall outside certain limits that you set.)
Liability for failure to stop payment of preauthorized transfer. If you order us to stop one of those payments 3 business days or more before the transfer is scheduled, and we do not do so, we will be liable for your losses or damages.
Financial Institution's Liability
If we do not complete a transfer to or from your account on time or in the correct amount according to our Agreement with you, we will be liable for your losses or damages. However, there are some exceptions. We will not be liable, for instance:
- If, through no fault of ours, you do not have enough money in your account to make the transfer.
- If you have an overdraft line and the transfer would go over the credit limit.
- If the automated teller machine where you are making the transfer does not have enough cash.
- If the terminal or system was not working properly and you knew about the breakdown when you started the transfers.
- If circumstances beyond our control (such as fire or flood) prevent the transfer, despite reasonable precautions that we have taken.
- If the funds are subject to legal process or other encumbrance restricting such transfer.
- There may be other exceptions stated in our agreement with you.
Confidentiality
In order that your privacy may be protected, we will not disclose any information about you or your account to any person, organization, or agency except:
- for certain routine disclosure necessary for the completion of a transfer; or
- for verification of the existence and condition of your account for a credit bureau or merchant; or
- to persons authorized by the law in the course of their official duties; or
- to our employees, auditors, service providers, attorneys or collection agents in the course of their duties; or
- pursuant to a court order or lawful subpoena; or
- to a consumer reporting; or
- by your written authorization which shall automatically expire 45 days after our receipt of your authorization.
If an unauthorized disclosure has been made, we must inform you of particulars of the disclosure within 3 days after we have discovered that authorized disclosure has occurred.
UNAUTHORIZED TRANSFERS
(a) Consumer Liability. Contact the Bank AT ONCE if you think your access device or code has been lost, stolen or used without your permission. Telephoning is the best way, if any, of minimizing your possible losses. If you notify us within two business days after learning of the loss or theft of the access device, your liability shall not exceed the lesser of $50 or the amount of unauthorized transfers that occur before notice to us. If you DO NOT tell us within two (2) business days after you learn of the loss or theft of your access device, and the Bank can prove that it could have stopped the unauthorized transactions if you had told the Bank, you could lose as much as $500.00.
(b) Contact in event of unauthorized transfer. If you think your code has been lost or stolen or that someone has transferred or may transfer money from your account without your permission, call or write us at the telephone number or address listed in the brochure.
Error Resolution Notice
In Case of Errors or Questions About Your Electronic Transfers, Telephone or Write us at the telephone number and address listed below as soon as you can, if you think your statement, or receipt is wrong or if you need more information about a transfer listed on the statement, or receipt. We must hear from you no later than 60 days after we sent you the FIRST statement on which the problem or error appeared or, if the only transfer possible is a direct deposit to your passbook account, no later than 60 days after the problem or error was FIRST reflected in your statement.
- Tell us your name and account number.
- Describe the error or the transfer you are unsure about; and explain as clearly as you can why you believe it is an error or why you need more information.
- Tell us the dollar amount and date of the suspected error.
- If you tell us orally, we may require that you send us your complaint or question in writing within 10 business days.
- The Bank will advise you of the result of its investigation within 10 business days (20 if this is a new account) after we hear from you, and will correct any error promptly.
- If we decide that additional time is needed, we may take up to 45 days (90 days for transactions involving new accounts, or were conducted outside of the United States, at Point-of- Sale terminals, or is an electronic check conversion debit) to investigate your complaint or question. If we decide that additional time is needed, we will conditionally credit your account within 10 business days so that you will have the use of the money during the time it takes us to complete our investigation. If we ask you to put your complaint or question in writing and we do not receive it within 10 business days, we may not credit your account during the investigation. If we decide that there was no error, we will send you a written explanation within three business days after we finish our investigation. You may ask for copies of the documents that we used in our investigation. If there is no error, we may impose on you a reasonable charge for making such reproduction. The Bank's investigation will be completed within 45 days, (90 days if the transaction was conducted on a new account, outside of the United States, at a Point-of-Sale terminal or is an electronic check conversion debit).
